These Service Terms and Conditions (“Terms”) govern the agreement between DIGITALO Pty Ltd (ABN 49 616 606 896) (“we”, “us”, “our”) and the client (“you”, “your”) for the provision of digital services. By paying a deposit or commencing a project with us, you agree to be bound by these Terms.
1. Scope of Work & Proposals
The scope of work is limited to the specific items listed in your Project Proposal or Invoice. Any additional features, pages, or functionality requested after the project has commenced will be treated as a "Scope Change" and quoted separately at our current hourly rate.
2. Revision Policy (The "Three-Round" Rule)
To ensure projects stay on schedule and budgets remain fixed, the following revision policy applies:

Included Revisions: Most packages include two (2) rounds of minor revisions. A "round" is defined as a single, consolidated list of feedback items provided at one time.

Consolidated Feedback: You agree to review the work thoroughly and provide all feedback in one batch. Frequent "drip-feed" emails with single changes will be counted as a full round of revisions.

Excessive Revisions: If more than three (3) rounds of revisions are required due to client indecision or changing requirements, additional rounds will be billed at our standard hourly rate.
3. Client Responsibilities & Content Delivery

Timely Provision: You agree to provide all text, images, and logos within 14 days of project kickoff.

Final Proofing: You are responsible for final proofreading. DIGITALO is not liable for errors in content approved by you during the review phase.

Project Stalls: If a project is delayed by more than 30 days due to missing client content, we reserve the right to invoice for work completed to date and pause the project.
4. Fees and Payment

Deposits: A non-refundable deposit is required to secure your booking.

Final Payment: The website will be launched or files delivered only once the final balance has been paid in full.

Late Fees: We reserve the right to charge interest on overdue invoices at a rate of 10% per annum.
5. Email Marketing & Newsletter Services
For clients engaging DIGITALO to manage or send newsletters via third-party platforms (e.g. Mailchimp, MailerLite):

Spam Act Compliance: You warrant that all email lists provided have been collected in accordance with the Spam Act 2003 (Cth) and that explicit consent has been obtained from all recipients. We reserve the right to refuse to send to any list that appears to be purchased or non-permission-based.

Final Approval: DIGITALO will provide a test version for your approval. You are solely responsible for the final proofreading of all content, links, and recipient segments. We are not liable for any errors or financial loss resulting from content approved by you.

Account Security: You are responsible for the security of your third-party accounts. Upon termination of services, you are responsible for revoking our access and updating your passwords.
6. Intellectual Property

Your Content: You guarantee that you own or have permission for all material provided to us.

Our Work: Upon final payment, the copyright for the specific website design we created is transferred to you. We retain the right to use the project in our portfolio.
7. Technical Liability & Third Parties

Search Engine Rankings: We follow SEO best practices but cannot guarantee specific rankings on Google, as algorithms change frequently.

Platform Failures: We are not liable for outages or failures caused by your hosting provider, domain registrar, or third-party software (e.g. WordPress core updates).
8. Cancellation

By You: You may cancel at any time; however, deposits are non-refundable, and you will be invoiced for all work completed up to the date of cancellation.

By Us: We reserve the right to terminate the agreement if there is a breakdown in communication or repeated late payments.
9. Jurisdiction
These terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.
